TERMS AND CONDITIONS
By submitting this booking, you (the Client) agree to the following terms with Immersive Digital Co (the Photographer).
1. SERVICES AND DELIVERY Photographer will perform the services selected on this booking form. Final images, video, and other deliverables will be delivered within 24 business hours of shoot completion. Drone, twilight, and twilight-conversion orders may require an additional 24 hours depending on weather and editing volume.
2. PAYMENT TERMS Payment is due net 15 days from delivery date unless paid at the time of booking by card. Invoices outstanding over 30 days are subject to a 1.5% monthly late fee. Photographer reserves the right to withhold delivery of images until payment is received in full.
3. CANCELLATIONS AND RESCHEDULES Cancellations more than 24 hours before the shoot: no charge. Cancellations within 24 hours of the shoot: 50% of booking total. No-shows or same-day cancellations: 100% of booking total. Photographer-initiated reschedules for weather, equipment, or safety: free of charge, rescheduled at the next mutually available slot.
4. COPYRIGHT OWNERSHIP Photographer (Immersive Digital Co) retains full copyright ownership of all images, video, and other deliverables produced under this booking, in perpetuity. Nothing in this agreement transfers copyright to Client.
5. CLIENT USAGE LICENSE Upon payment in full, Client receives a perpetual, non-exclusive, royalty-free license to use the delivered images and video for the following purposes: a. Marketing the specific property photographed (MLS listings, broker websites, social media, print marketing, brochures, third-party listing syndication, open house collateral) b. Client's brokerage and personal agent marketing related to that listing c. Reasonable secondary use after the listing closes (testimonials, past-sales portfolio, "just sold" announcements)
This license is non-transferable. Client may not resell, sublicense, or distribute the images to third parties outside the scope above. Builders, stagers, designers, contractors, other agents, and any party not named on this booking must purchase a separate license from Photographer to use the work.
6. PHOTOGRAPHER RETAINED USAGE RIGHTS Photographer retains the unrestricted right to use, reproduce, display, publish, modify, and license the images, video, and any derivative work for any purpose, including but not limited to: a. Portfolio and website (immersivedigital.co) b. Social media (Instagram, Facebook, TikTok, LinkedIn, YouTube, and any future platform) c. Paid and organic advertising, printed marketing, and promotional collateral d. Stock licensing or resale to third parties e. Editorial, educational, competition, and award submissions f. Internal training, case studies, and demo reels
Photographer is not required to disclose the property address, owner name, listing agent, brokerage, sale price, or any other identifying detail when using the images for these purposes. Client waives any right to approve, restrict, or limit Photographer's use of the work, including the right to demand removal.
7. PROPERTY-SHOOT READINESS Client is responsible for ensuring the property is shoot-ready upon Photographer's arrival: lights on, blinds open, beds made, surfaces cleared, personal items put away, pets contained, vehicles moved from driveways and frontage. Time spent on staging, cleaning, decluttering, or rearranging by Photographer is billable at $75 per hour in 15-minute increments and added to the invoice.
8. SAFETY AND ACCESS Photographer reserves the right to refuse, pause, or terminate a shoot if conditions present a safety risk, including unsafe structural conditions, aggressive animals, uncontrolled hazards, hostile occupants, or unsafe weather. Drone services are governed by FAA Part 107 and may be canceled or limited due to weather, airspace restrictions, or pilot discretion. Drone services canceled for FAA or weather reasons are refunded or rescheduled at no charge.
9. DIGITALLY MODIFIED IMAGES Any digitally modified images (virtual staging, virtual twilight, sky replacement, object removal, AI enhancement) must be disclosed by Client in any listing or marketing in accordance with MLS, NAR Code of Ethics, and state real estate disclosure rules. Photographer is not liable for Client's failure to disclose digital modifications, and Client agrees to indemnify Photographer against any claims arising from non-disclosure.
10. PROPERTY AUTHORIZATION Client warrants that Client has full authority to authorize Photographer to enter the property and produce the work, including any drone operations over or near the property. Client agrees to indemnify and hold Photographer harmless from any claims arising from unauthorized property access or third-party property rights.
11. LIMITATION OF LIABILITY Photographer's total liability for any claim arising from this booking is limited to the amount paid by Client for the affected services. Photographer is not liable for indirect, consequential, incidental, or punitive damages, including but not limited to lost sales, lost commissions, missed MLS deadlines, expired listing windows, or delayed closings.
12. FORCE MAJEURE Neither party is liable for delays or failure to perform caused by events beyond reasonable control, including weather, natural disasters, public health emergencies, government action, equipment failure, or third-party platform outages.
13. ENTIRE AGREEMENT These terms constitute the entire agreement between Client and Photographer regarding this booking and supersede any prior agreements, written or verbal. Modifications must be in writing and signed by both parties. If any provision is found unenforceable, the remaining provisions stay in full effect.
14. GOVERNING LAW This agreement is governed by the laws of the State of Wyoming. Any dispute will be resolved in the courts of Albany County, Wyoming.
